The Hidden Cost of Ignoring ROC Compliances
Congratulations, you have successfully registered your Private Limited Company! However, receiving your Certificate of Incorporation is not the finish line; it is the starting point of your regulatory journey. The Ministry of Corporate Affairs (MCA) imposes strict annual compliance requirements on all registered companies. Failing to meet these deadlines does not just lead to financial penalties—it can result in the company being struck off the register and the founders being disqualified from acting as directors anywhere else.
Mandatory Annual ROC Filings
Regardless of whether your company made a profit of ₹10 Crores or had zero revenue during the financial year, the following filings are strictly mandatory:
Form AOC-4 (Financial Statements): You must file your company's audited financial statements, including the balance sheet and profit & loss account, within 30 days of holding your Annual General Meeting (AGM).
Form MGT-7 (Annual Return): This form contains the details of your company's shareholding structure, changes in directorship, and registered office details. It must be filed within 60 days of the AGM.
Statutory Audit: Every Private Limited Company must appoint a practicing Chartered Accountant (CA) as a statutory auditor within 30 days of incorporation (Form ADT-1). The auditor must audit your books annually.
Event-Based Compliances
Beyond annual filings, the MCA requires immediate updates for specific corporate events:
Change in Directors: Adding or resigning a director requires filing Form DIR-12 within 30 days.
Change in Registered Office: Shifting your office address across state or city limits requires filing Form INC-22.
Increase in Authorized Capital: If you are raising funds and issuing new shares, Form SH-7 and PAS-3 must be filed.
