Registering a Private Limited Company in India through the Ministry of Corporate Affairs (MCA) has become significantly faster with the introduction of the SPICe+ web form. However, a single mismatched signature or an illegible document can lead to resubmission notices, delaying your launch by weeks.
To ensure a smooth, one-shot approval, founders must gather and verify all documents before initiating the process.
1. Documents Required from All Directors & Shareholders
Every proposed director and shareholder must provide self-attested copies of the following:
PAN Card: The name on the PAN card must exactly match all other submitted documents. This is mandatory for Indian nationals.
Identity Proof: Passport, Voter ID, or Driving License (ensure it is valid and not expired).
Address Proof: A recent Bank Statement, Electricity Bill, or Mobile Bill (must not be older than 2 months). The name on the bill must match the PAN exactly.

2. Documents Required for the Registered Office
The MCA requires proof that your company has a legitimate physical address, even if it is a residential property.
Utility Bill: Electricity, Gas, or Water bill for the premises (not older than 2 months).
No Objection Certificate (NOC): A signed document from the legal owner of the property stating they have no objection to the premises being used as your company's registered office.
Rent Agreement: If the property is leased, a notarized rent agreement is required.
3. Drafted Statutory Documents
Your legal consultant will prepare these, but you must review and digitally sign them:
Memorandum of Association (MoA): Defines your business objectives.
Articles of Association (AoA): The internal rulebook of your company.
Form DIR-2: Consent to act as a Director.
