How to Register a One Person Company (OPC) in India: A Complete Step-by-Step Guide

If you are a solo entrepreneur who wants the flexibility of a sole proprietorship combined with the legal protection and credibility of a Private Limited Company, a One Person Company (OPC) is the ideal structure for you.

Introduced under the Companies Act, 2013, an OPC allows a single founder to enjoy limited liability, full operational control, and easier access to corporate funding or vendor onboarding.

Here is a simple, step-by-step roadmap to registering your OPC in India.

📋 Prerequisites for OPC Registration

Before starting the application, ensure you meet the basic legal requirements:

  • One Director & Member: The founder must be an Indian citizen and resident.

  • One Nominee: A nominee must be designated who will take over the company in case of the promoter's death or incapacity.

  • Unique Company Name: The name must end with "(OPC) Private Limited".

  • Registered Office Address: A commercial or residential address in India.

🚀 Step-by-Step OPC Registration Process

Step 1: Obtain Digital Signature Certificate (DSC)

Since all MCA (Ministry of Corporate Affairs) filings are submitted electronically, the director and nominee must obtain a Digital Signature Certificate (DSC) from an authorized certifying agency.

Step 2: Apply for Name Approval (RUN/SPICe+)

Submit your proposed company name to the MCA using the SPICe+ Part A form or the RUN (Reserve Unique Name) service.

  • Tip: Choose a unique name that reflects your business and does not infringe on existing trademarks or existing company names.

Step 3: Fill the SPICe+ Integrated Form (Part B)

Once the name is approved, proceed to SPICe+ Part B. This single integrated application covers:

  • Application for Director Identification Number (DIN)

  • Incorporation of the company

  • Allotment of PAN and TAN

  • Mandatory registration for EPFO, ESIC, and Professional Tax

  • Opening a corporate bank account

Step 4: Draft Key Documents

Along with the SPICe+ form, prepare and attach the following statutory documents:

  • Memorandum of Association (MoA): Outlines the main business objectives.

  • Articles of Association (AoA): Defines the internal rules and regulations.

  • Nominee Consent Form (INC-3): Written consent from your nominated successor.

  • Proof of Registered Office: Utility bill (electricity/water bill under 2 months old) along with a No Objection Certificate (NOC) from the property owner.

Step 5: Filing & Certificate of Incorporation (CoI)

Submit the completed forms digitally along with the prescribed MCA fees and stamp duty. Once the Registrar of Companies (RoC) verifies and approves your application, you will be issued a Certificate of Incorporation (CoI) containing your Corporate Identification Number (CIN).

🎯 Post-Incorporation Checklist

After receiving your Certificate of Incorporation:

  1. Open your official company bank account using your CoI, PAN, TAN, and DSC.

  2. File the Declaration of Commencement of Business (Form INC-20A) within 180 days of incorporation.

  3. Apply for GST registration, MSME/Udyam registration, or local shop and establishment licenses as applicable.
